Terms of Service

These Terms of Service (the "Terms") are a contract between you and BAWR Group LLC, a Delaware limited liability company ("we", "us", or the "Company"), governing your use of Wattro (the "Software") and related services.

1. Acceptance

By downloading, installing, or using the Software, or by purchasing a Pro license, you agree to these Terms. If you do not agree, do not use the Software and do not purchase a Pro license.

2. License

We grant you a non-exclusive, non-transferable, revocable license to use the Software for personal or commercial purposes on devices you own or control. You may not redistribute, sublicense, reverse-engineer, decompile, disassemble, or modify the Software. The Software is proprietary and all rights not expressly granted are reserved.

3. Intellectual Property

The Software, including all code, design, graphics, and documentation, is the exclusive property of BAWR Group LLC and is protected by copyright and other intellectual property laws. No ownership or intellectual property rights are transferred to you.

4. Pro License

Some features require a paid Pro license. A Pro license is a one-time purchase granting perpetual access to Pro features available at the time of purchase. Future features may be added to the free or Pro tier at our discretion. License keys are personal and may not be shared or resold.

5. Payments

Pro purchases are processed by Polar Software Inc. ("Polar"), which acts as the Merchant of Record and seller of record for all Pro purchases. Polar is responsible for payment authorization, collection and remittance of applicable sales taxes and VAT, invoicing, and refunds. Your use of Polar's checkout is subject to Polar's Terms of Service and Privacy Policy. BAWR Group LLC is the software licensor and provides the Software itself. Prices are shown in USD; applicable taxes are calculated and displayed at checkout by Polar based on your billing location.

6. Availability

The Software is provided "as is" without warranty of any kind. We do not guarantee uninterrupted availability, accuracy of data displayed, or compatibility with future macOS versions. Battery data is read from system APIs and may vary from actual values.

7. Limitation of Liability

To the maximum extent permitted by law, BAWR Group LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. Our total liability under these Terms is limited to the amount you paid for the Software in the twelve (12) months preceding the claim.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Individual arbitration. Any dispute arising out of or relating to these Terms or the Software will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. Arbitration will be conducted in English; the seat of arbitration is New Castle County, Delaware, conducted remotely unless both parties agree otherwise.

Class-action waiver. You and BAWR Group LLC each agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

30-day opt-out. You may opt out of this arbitration and class-action waiver by emailing legal@wattro.app within 30 days of first purchase, with your name, email, and a clear statement that you opt out. Opting out does not affect any other part of these Terms.

If arbitration is held unenforceable, exclusive jurisdiction and venue lie in the state and federal courts located in New Castle County, Delaware.

10. Changes

We may update these Terms from time to time. The effective date and version identifier at the top of this page reflect the current version. Material changes will be announced via the website or in-app notice; continued use of the Software after the effective date of a material change constitutes acceptance of the updated Terms.
